Master Service Agreement (MSA)

1. Scope & Execution of Services
This Master Service Agreement ("Agreement") governs the provisioning of all digital telecommunications, carrier-grade broadband (FTTH/FTTB/Ethernet), cloud computing environments, domain registrations, and AI-managed voice instances supplied by e-Mbizo Solutions (Pty) Ltd ("e-Mbizo") to the contracting entity ("Customer").
Individual service schedules, electronic checkout authorizations, and dynamic provisioning requests executed via the e-Mbizo portal constitute legally binding addendums incorporated into this Agreement.
2. Autonomous Provisioning & Acceptable Use
e-Mbizo utilizes autonomous network operations (Zero-Touch Provisioning) to allocate virtualized resources, BGP routing paths, and upstream carrier bandwidth. The Customer agrees not to utilize the network for unlawful interception, distribution of malicious payloads, unsolicited bulk transmission (SPAM), or unauthorized cryptographic mining that degrades carrier fabric.
3. Billing, Recurring Subscriptions & Term
- Billing Cycle: Recurring services are billed in advance on a monthly or annual cadence.
- Pro-Rata Adjustments: Initial connection periods will be billed pro-rata from the exact timestamp of carrier line synchronization or virtual machine deployment.
- Term & Termination: Month-to-month contracts require 30 days written notice via the client dashboard. Fixed-term infrastructure contracts (12/24/36 months) are subject to premature termination settlement clauses as stipulated in the service schedule.
4. Limitation of Liability & Force Majeure
Neither party shall be liable for indirect, incidental, or consequential damages resulting from upstream undersea cable interruptions, national grid power shedding beyond scheduled inverter tolerances, or terrestrial fibre cuts outside e-Mbizo's immediate metropolitan loop control, subject to the remedies detailed in the Service Level Agreement (SLA).
